While Viking Pump, Inc. and IDEX Corporation and its affiliates (IDEX) are anxious to hear innovative product ideas, it is necessary that we take certain precautions before accepting ideas from outside the Company. Both Viking Pump and IDEX own numerous past ideas and others normally under development now, they may receive suggestions from others, any of which may be similar to your own. In order to avoid any possible confusion about ownership between your ideas and those of Viking Pump, IDEX and others, and to prevent misunderstanding as to your rights and those of Viking Pump, IDEX  and others, your submittal of an idea is agreed by you to be subject to the following conditions before we can consider your request:

   (i) You confirm that you have the right to submit the matter to be disclosed to Viking Pump and IDEX.
   (ii) You are satisfied that your interests are fully safeguarded or that safeguarding is not necessary.
   (iii) You permit Viking Pump and IDEX Corporation to disclose the submitted material to several of its employees.
   (iv) Neither Viking Pump nor IDEX are obligated to maintain in confidence the subject matter of the material you submitted. You agree that no claim will be made against Viking Pump or IDEX  arising out of any disclosure to others of the submitted material or the use of such subject matter, unless the claim is based on an asserted infringement of a patent you own or a copyright covering your idea.
   (v) Viking Pump and IDEX Corporation will evaluate the submitted material, but it is obligated only to indicate whether or not it is interested.
   (vi) All documentary material received from you will be retained by Viking Pump and IDEX Corporation as a record of what is disclosed, unless Viking Pump and IDEX Corporation agree in advance to return the material.
   (vii) Any decisions to compensate you for use of your idea shall be in the sole discretion of Viking Pump or IDEX. 

The submittal of an idea by you constitutes your agreement to these provisions.
